Welcome to Mutuum. These Terms and Conditions ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and Mutuum ("Company," "we," "us," or "our") governing your access to and use of our decentralized exchange platform, website located at https://mutuum.co.uk, and all associated services (collectively, the "Platform" or "Services").

1. Acceptance of Terms

By creating an account, connecting a wallet, executing transactions, or otherwise accessing any part of the Mutuum Platform, you expressly agree to:

• Be bound by these Terms and all policies incorporated by reference
• Comply with all applicable laws, regulations, and industry standards
• Accept the risks inherent in cryptocurrency trading and decentralized finance
• Receive communications from Mutuum regarding your use of the Platform

These Terms apply to all users, including browsers, traders, liquidity providers, and any other participants in the Mutuum ecosystem. We reserve the right to refuse service to anyone at any time for any reason.

2. Eligibility Requirements

2.1 Age and Capacity

To use Mutuum, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the legal capacity to enter into binding contracts
• Not be prohibited from accessing the Platform under applicable laws
• Comply with all local laws regarding online trading and cryptocurrency usage

2.2 Geographic Restrictions

Our Services may not be available in all jurisdictions. You may not use Mutuum if you are located in, or a resident or citizen of:

• Any jurisdiction where cryptocurrency trading is prohibited or restricted
• Countries subject to comprehensive economic sanctions (as designated by the UK, UN, EU, or US)
• Jurisdictions where providing our Services would violate applicable laws

You represent and warrant that you are not located in, organized under the laws of, or ordinarily resident in any such prohibited jurisdiction.

2.3 Identity Verification

We reserve the right to require identity verification (KYC) for certain Platform features or transaction thresholds. Failure to complete verification when requested may result in suspension or termination of your access to specific features or the entire Platform.

3. Platform Description and Services

3.1 Decentralized Exchange Services

Mutuum provides a decentralized exchange platform that facilitates peer-to-peer cryptocurrency trading through automated market maker (AMM) protocols and smart contracts. Our Services include:

• Token swapping and exchange functionality
• Liquidity provision opportunities
• Staking and yield farming programs
• Governance participation mechanisms
• Educational resources and market information
• Community features and social trading tools

3.2 No Financial Advice

Mutuum is a technology platform that provides tools for decentralized trading. We do not:

• Provide financial, investment, tax, or legal advice
• Recommend specific investments or trading strategies
• Act as a broker, financial advisor, or investment manager
• Guarantee investment returns or trading outcomes

All trading decisions are your sole responsibility. You should consult qualified professional advisors before making financial decisions.

3.3 Non-Custodial Nature

Mutuum is a non-custodial platform. We do not hold, control, or have access to your cryptocurrency assets or private keys. You maintain complete custody and control of your funds at all times. We cannot recover lost funds, reverse transactions, or access your wallet without your private keys.

4. User Accounts and Wallet Connection

4.1 Wallet Connection

To access trading features, you must connect a compatible cryptocurrency wallet (such as MetaMask, WalletConnect, or others supported by our Platform). By connecting your wallet:

• You represent that you own and control the connected wallet
• You acknowledge that we do not have access to your private keys or seed phrases
• You accept responsibility for all transactions initiated from your wallet
• You understand that we cannot reverse, cancel, or refund blockchain transactions

4.2 Account Security

You are solely responsible for maintaining the security of your wallet and account credentials:

• Never share your private keys, seed phrases, or passwords with anyone
• Use strong, unique passwords and enable two-factor authentication where available
• Protect your devices from unauthorized access and malware
• Immediately notify us of any unauthorized access or security breaches

We are not liable for any losses resulting from unauthorized access to your account due to your failure to maintain adequate security.

4.3 Account Suspension and Termination

We reserve the right to suspend or terminate your access to the Platform at any time, with or without notice, for reasons including but not limited to:

• Violation of these Terms or our policies
• Suspected fraudulent, illegal, or suspicious activity
• Failure to complete required identity verification
• Risk management or compliance obligations
• Technical or security concerns

5. Trading and Transactions

5.1 Trading Mechanics

When you execute a trade on Mutuum:

• You interact directly with smart contracts deployed on blockchain networks
• Trades are settled on-chain and are irreversible once confirmed
• You pay blockchain network fees (gas fees) in addition to platform trading fees
• Final transaction amounts may differ from estimated amounts due to price volatility and slippage
• Transaction confirmation times depend on blockchain network conditions

5.2 Fees and Costs

Using Mutuum involves various fees:

• Trading Fees: A percentage fee (typically 0.3%) charged on each swap transaction
• Network Fees: Blockchain gas fees required to execute transactions (paid to network validators, not Mutuum)
• Slippage: Price impact from your trade affecting the final exchange rate
• Additional Fees: Potential fees for specific features, services, or premium tiers

Fee structures are transparent and displayed before transaction confirmation. We reserve the right to modify fee structures with reasonable notice.

5.3 Transaction Risks

You acknowledge and accept the following risks:

• Price Volatility: Cryptocurrency prices can fluctuate significantly, resulting in substantial gains or losses
• Slippage Risk: Executed prices may differ from quoted prices due to market movements
• Liquidity Risk: Insufficient liquidity may prevent order execution or cause unfavorable pricing
• Smart Contract Risk: Vulnerabilities in smart contracts could result in loss of funds
• Network Congestion: Blockchain congestion may delay transactions or increase costs
• Impermanent Loss: Liquidity providers may experience losses due to price divergence

5.4 No Guarantee of Execution

We do not guarantee that any trade will be executed at a specific price or at all. Transactions may fail due to various factors including insufficient funds, network errors, smart contract failures, or market conditions. Failed transactions may still incur gas fees.

6. Liquidity Provision and Staking

6.1 Liquidity Pools

When you provide liquidity to Mutuum pools:

• You deposit equal values of two tokens into a liquidity pool
• You receive liquidity provider (LP) tokens representing your share
• You earn a portion of trading fees generated by the pool
• You accept the risk of impermanent loss due to price changes
• You can withdraw your liquidity at any time by burning your LP tokens

6.2 Staking Programs

Staking involves locking tokens for specified periods in exchange for rewards:

• Rewards are not guaranteed and depend on various factors
• Staked tokens may have withdrawal restrictions or lock-up periods
• Reward rates may change based on platform performance and governance decisions
• Early withdrawal may result in penalties or forfeited rewards

6.3 No Investment Guarantees

Liquidity provision and staking do not constitute investments in Mutuum. Returns are variable, not guaranteed, and you may lose some or all of your deposited funds. Past performance does not indicate future results.

7. Intellectual Property Rights

7.1 Platform Ownership

All content, features, functionality, and materials on the Mutuum Platform, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the compilation thereof (collectively, the "Content"), are the exclusive property of Mutuum or our licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes in compliance with these Terms. This license does not include:

• Modification, reproduction, or distribution of Platform content
• Commercial use or exploitation of the Platform or Content
• Reverse engineering, decompiling, or disassembling any Platform components
• Removing copyright, trademark, or proprietary notices
• Creating derivative works based on the Platform

7.3 Trademarks

Mutuum, our logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Mutuum. You may not use these marks without our prior written permission. Other trademarks appearing on the Platform are the property of their respective owners.

7.4 User Content

If you submit feedback, suggestions, ideas, or other materials to us, you grant Mutuum a perpetual, worldwide, royalty-free license to use, modify, reproduce, and incorporate such materials into our Platform without compensation or attribution.

8. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

8.1 Illegal Activities

• Using the Platform for money laundering, terrorist financing, or other illegal activities
• Trading tokens that are securities without proper registration or exemption
• Violating any applicable laws, regulations, or ordinances
• Infringing on intellectual property rights of Mutuum or third parties

8.2 Fraudulent or Manipulative Behavior

• Engaging in market manipulation, wash trading, or pump-and-dump schemes
• Creating fake accounts or impersonating others
• Providing false, misleading, or inaccurate information
• Exploiting bugs, vulnerabilities, or errors in the Platform

8.3 Technical Interference

• Interfering with or disrupting the Platform's operation or infrastructure
• Introducing viruses, malware, or malicious code
• Attempting unauthorized access to Platform systems or user accounts
• Using automated systems (bots, scrapers) without authorization
• Overloading or attacking Platform infrastructure (DDoS attacks)

8.4 Misuse of Services

• Circumventing geographic, technical, or account restrictions
• Using the Platform from prohibited jurisdictions via VPNs or proxies
• Accessing or using the Platform through unauthorized third-party applications
• Harvesting or collecting user information without consent

9. Disclaimers and Limitation of Liability

• Blockchain transactions are irreversible and cannot be refunded
• Regulatory changes could adversely affect the Platform or your holdings

10. Indemnification

You agree to indemnify, defend, and hold harmless Mutuum, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, partners, licensors, and contractors from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Platform
• Your violation of these Terms or any applicable laws
• Your violation of any rights of third parties
• Your trading activities and investment decisions
• Any content you submit or transmit through the Platform
• Your fraudulent or illegal activities

We reserve the right to assume exclusive defense and control of any matter subject to indemnification, at your expense.

11. Dispute Resolution and Governing Law

11.1 Governing Law

These Terms and your use of the Platform shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law provisions.

11.2 Dispute Resolution Process

In the event of any dispute, claim, or controversy arising from these Terms or your use of the Platform:

1. Informal Resolution: Contact us first at legal@Mutuum.co.uk to attempt good-faith resolution
2. Negotiation Period: Allow 30 days for informal resolution attempts
3. Mediation: If informal resolution fails, participate in non-binding mediation before pursuing litigation
4. Arbitration or Litigation: Unresolved disputes may proceed to binding arbitration or litigation as described below

11.3 Jurisdiction and Venue

Subject to the arbitration provisions below, you agree that any legal action or proceeding shall be brought exclusively in the courts of England and Wales. You consent to the personal jurisdiction of these courts and waive any objections to venue.

11.4 Arbitration Agreement

For disputes exceeding £10,000, either party may elect binding arbitration under the rules of the London Court of International Arbitration (LCIA). The arbitration shall be conducted in English in London, England. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

11.5 Class Action Waiver

You agree to bring claims against Mutuum only in your individual capacity and not as a member of any class or representative action. Class arbitrations, class actions, and representative actions are not permitted.

12. Modifications and Updates

12.1 Changes to Terms

We reserve the right to modify, amend, or update these Terms at any time. When we make changes:

• We will update the "Last Updated" date at the top of these Terms
• We will provide notice through the Platform, email, or other reasonable means
• Material changes will be communicated at least 30 days before taking effect
• Your continued use after changes constitute acceptance of the modified Terms

If you disagree with any changes, you must stop using the Platform before the changes take effect.

12.2 Platform Modifications

We may modify, suspend, or discontinue any aspect of the Platform at any time, including:

• Features, functionality, or services
• Fee structures and pricing
• Supported tokens, blockchains, or trading pairs
• User interface and experience

We are not liable for any modification, suspension, or discontinuation of the Platform or any feature.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published on the Platform, constitute the entire agreement between you and Mutuum regarding use of the Platform and supersede all prior agreements and understandings.

13.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

13.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Mutuum.

13.4 Assignment

You may not assign or transfer these Terms or your rights and obligations hereunder without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this provision is void.

13.5 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemic, government actions, natural disasters, power failures, internet disruptions, or blockchain network failures.

13.6 Survival

Provisions that by their nature should survive termination shall survive, including but not limited to intellectual property rights, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law provisions.

13.7 Relationship of Parties

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Mutuum. You have no authority to bind Mutuum or make representations on our behalf.

13.8 Third-Party Beneficiaries

These Terms do not confer any third-party beneficiary rights. Only you and Mutuum may enforce these Terms.

13.9 Language

These Terms are drafted in English. Any translations are provided for convenience only. In case of conflict, the English version shall prevail.
